Before joining Georgetown Law I worked as a corporate and securities law attorney at Cyril Amarchand Mangaldas (a tier 1 IFLR 1000 Indian law firm) for almost seven years where I: • Represented issuers underwriters institutional investors sponsors shareholders and unitholders on 50+ capital markets transactions across 10+ sectors including multiple marquee and market-first offerings in reliance on Rule 144A and Regulation S under the Securities Act of 1933. • Led initial public offerings (IPOs) further public offerings (FPOs) real estate investment trust (REIT) listings qualified institutional placements (QIPs) rights issues preferential allotments block trades and public/ private debt transactions. • Drafted negotiated and reviewed offering documents transactional agreements opinions policies resolutions employee stock option plans regulatory amendment proposals regulator representations market reports and client updates. • Directed strategic deal structuring (end-to-end advisory from setting up three of four listed Indian REITs to their eventual listing and further offerings) identified risks and managed transactional due diligence. • Drove extensive research efforts concentrating on evolving regulations securities law transactions comparable jurisdictions and industry trends converting research insights into actionable advice for clients. • Counselled 10+ listed entities on matters relating to regulatory and corporate governance compliance. • Guided the Indian securities market regulator’s hybrid securities advisory committee on the development and regulation of primary and secondary markets for hybrid securities by evaluating REIT regulatory frameworks in developed economies. • Supervised a team of lawyers across three locations and spearheaded business development initiatives. • Taught corporate and securities law training sessions for professionals and crafted tailored learning protocols.
