About Andrew Teehan

Experienced in-house counsel with a private practise background. Previous responsibilities while acting as in-house counsel have included- securities law matters, including continuous disclosure filings and coordinating annual and special shareholder meetings- compliance with stock exchange listing requirements- advising internal functional groups with respect to compliance with credit agreements- assisting business development teams by negotiating non-disclosure agreements, drafting non-binding letters of intent, conducting due diligence and settling definitive transaction agreements- general corporate matters including organizing and minuting meetings of a public company board, as well as the boards of subsidiaries; and - employment matters and assisting human resources (including drafting employment and separation agreements and administering equity incentive plans). Notable experience- 2018: successful completion of a recapitalization transaction implemented pursuant to a court-approved plan of arrangement under the Canada Business Corporations Act which reduced the company’s total debt by approximately US$2.4 billion- 2017: organized the first-ever entirely virtual annual general and special meeting of a public company in Canada- 2016: successful completion of an offering of 5½ year Senior Secured First Lien Notes with a principal amount of US$350 million- 2015: successful completion of the overseas acquisition of specialty pharmaceuticals company for approximately US$3.5 billion.
