About Andreza Lemos

As a Lawyer, I have accumulated over 10 years of experience in various areas of Corporate Law, with a focus on Corporate, M&A, Corporate Governance, Regulatory, and Civil Litigation. During this period, I worked at national and multinational companies in the pharmaceutical retail, chemical industry, and food service sectors. My experience includes reviewing and drafting corporate documents such as amendments to articles of incorporation, minutes of Shareholders' Meetings (ARS, AGE, AGD), Advance for Future Capital Increases (AFAC), Board Resolutions (RCA), bylaws, and shareholders' agreements. I participated in the conversion of 15 limited liability companies into corporations (S.A.) and contributed to Due Diligence processes for M&A and financial operations, including IPOs, debenture issuances (BRL 90MM), banking notes, and agribusiness receivables certificates (CRA, BRL 450MM), as well as restructuring and selling a gas station. I played an active role as Secretary of Governance in meetings of the Statutory Audit Committee of a publicly traded company, providing legal support to senior management, board members, and shareholders, while managing the interface with top-tier law firms on corporate and contractual matters. Recently, as a Senior Governance, Risk, and Compliance Analyst, I developed expertise in Risk Assessment and Management, identifying, analyzing, and monitoring operational and regulatory risks, and devising strategies to mitigate them. I created and revised internal policies to ensure compliance with applicable laws and regulations and conducted internal audits to verify adherence to policies. I facilitated governance and compliance training, prepared detailed reports for senior management, and collaborated across departments to strengthen the culture of compliance. I also built strong relationships with internal and external stakeholders, ensuring effective communication on governance and risk issues.
