About Anne Cotter

As a Corporate Finance and Business Attorney, I represent business clients of all sizes, from private start-ups to large public companies, in the areas of general corporate law, mergers and acquisitions, and securities law. I also serve as primary counsel to several real estate investment and development firms. My practice spans a variety of corporate transactional matters. I have extensive experience structuring and documenting private placement offerings (both debt and equity), real estate joint ventures, technology joint ventures, and preferred equity investments by angel investors and venture capital firms. I enjoy partnering with business owners and executives in structuring and negotiating business acquisitions and divestitures, applying my experience to help them get the best deal possible. I also routinely provide advice on entity formation and organizational matters, succession planning, corporate governance, licensing and contract negotiations, and other general corporate matters. I assist clients in achieving their financing and business objectives. For many clients, my role is that of outside general counsel. The client calls me about everything, and I utilize my many talented Stinson colleagues to address all of their legal needs, such as employment and labor, IP, real estate, tax, litigation, construction, and insurance matters.
