Hi - nice to meet you! I am the Head of Legal at Epirus. I was previously the first Head of Legal at Astranis, a space industry startup valued at over 1.5B. I helped guide Astranis through pivotal growth moments, including the company’s first satellite launch, doubling of company headcount, and doubling of company backlog. I love space, being a parent, hockey, theme parks, tinkering, Philip K. Dick, Battlestar Galactica, Doctor Who, and southern cooking. I have worked for startups, worked abroad, worked for multiple publicly traded companies, and have had multiple international speaking engagements. My experience includes: Transactions: I have negotiated deals in the space, technology, engineering, construction, manufacturing, and professional services sectors, and have created and administered dozens of complex JVs. Corporate Governance: I have managed Board Books and corporate governance for 50+ domestic and international legal entities, and have overseen corporate insurance programs, corporate real estate, and significant M&A activity. Corporate Finance: I have driven debt financings and priced rounds, and advised on factoring programs, inter-company transactions, tax strategy, cap table management, 701 disclosures, 409a valuations, and stock transfers. Government Contracts: I have substantial hands-on experience with NASA, DOD, and civilian agency procurements (both commercial and otherwise), and have regularly briefed executives on FAR/DFARS matters, including ECPs, REAs, CDA Claims, LOCs, CMMC, Section 889, and NIST standards. Ethics and Compliance: I have been lead ethics lawyer for a top tier government contractor, have managed high profile disclosures, and have hands-on experience with ITAR/EAR and the FCPA. Employment: I have drafted employment contracts and employee handbooks, overseen employee hotline complaints, and resolved millions of dollars in employment litigation. Crisis Management & Investigations: I have triaged responses to a wide array of incidents (including fires, arrests, and warranted searches of company offices), and have lead multiple high profile internal investigations.
