About Chris Cicconi

Chris concentrates his practice in mergers and acquisitions, financing, structuring and reorganizing business entities, and corporate governance. A first chair transactional lawyer, Chris has served as lead counsel in hundreds of M&A and financing transactions. He has represented a wide range of clients from entrepreneurial companies to those in the upper middle market in mergers, management buyouts, and stock and asset acquisitions and dispositions. Among his representative transactions are: •Merger of a national insurance brokerage firm with a NASDAQ-listed financial services company •Roll-up merger of multiple aviation services companies •Private equity investment in a mid-Atlantic retail chain •Purchase of a portfolio of 250 convenience stores from a major petroleum/energy company •Management buyout involving a national manufacturing/distribution company •Sale of 20 FBOs (general aviation service facilities) located at airports throughout North America •Acquisition of a TPA by a commercial bank •First-ever private equity investment in a NASCAR race team •Acquisition of manufacturing facilities in the People’s Republic of China He also served as lead counsel for the Lancaster County Convention Center Authority in the development and construction of the $175 million Marriott/Convention Center complex and represented a company in the hospitality industry in the acquisition of an amusement park and a golf and hotel resort. His financing experience includes representation of both financial institutions and borrowers in asset-based and real estate acquisition and development loans, as well as structuring financing stacks with equity, sub-debt and senior secured loans in M&A transactions. As published in Philadelphia magazine, Chris has been recognized on multiple occasions as a Pennsylvania Super Lawyer in the area of M&A.
