I am an Investment Banker that primarily specializes in helping business owners to prepare for and execute an M&A transaction to sell their business (or businesses)- I advise business owners throughout the M&A transaction process. This includes: valuing the business, helping to prepare the business (and owners) for a transaction, financial modeling, evaluating acquisition opportunities, preparation of marketing materials, tax considerations of transactions, negotiations (Letters of Intent), due diligence, and navigating the purchase and sale agreement process- I also advise buyers with identifying targets, target outreach, target analysis, negotiations, and navigating due diligence and the purchase and sale agreement- I have experience conducting the sale of companies in financial distress- I have almost 10 years of experience in M&A and have personally closed 17 transactions. I have assisted in the closing of over a dozen other transactions- Trained as a tax attorney. I worked as an associate tax attorney at Amicus Law Group; Worked at a summer associate at Jeffers Danielson Sonn & Aylward; interned as a clerk for a U.S. District Court Judge; worked as a legal Intern at drugstore.com. I have legal experience in the following: tax, corporate, contracts, negotiations, business organizations, and estate planning. Although I no longer practice law, my knowledge in the above areas helps me advise my M&A clients on how to use their legal counsel efficiently and wisely- Marine Corps officer and combat veteran. Completed two combat tours of duty in Iraq - the invasion of Iraq in 2003 and Al Anbar Province in 2004-2005. Fought in the Battle of Fallujah in November, 2004. Worked as a combat engineer officer - essentially a project manager and logistician- Journalist. Worked as a reporter at the Arizona Republic, worked as a project manager at Arizona State University's New Media Innovation Lab.
