I provide corporate and transaction-related legal advice to clients in a wide range of industries and all along the growth spectrum, from start-ups through public companies. My practice has three primary parts: Deal Lawyer - I advise management and boards of directors on buy- and sell-side M&A, joint venture, and other strategic business transactions, including securities offerings. Start-up Lawyer - I provide formation, financing, and general corporate counseling to entrepreneurs and emerging growth companies. Corporate Counselor - I serve as primary legal advisor to clients that lack in-house counsel, including by coordinating support from intellectual property, employment, real estate, tax, and other specialists. I have worked with clients in the retail, consumer products, software and IT, forest products, professional services, financial services, and life sciences industries.
