David practices corporate/commercial and securities law, with a particular focus on the mining sector. He has experience in a range of public and private company transactions and advises on stock exchange matters, continuous disclosure obligations, and general corporate governance. He also maintains a practice in Aboriginal law, offering expertise in consultation and regulatory matters as well as the negotiation and drafting of commercial arrangements for both industry and Indigenous clients. David’s recent experience includes representing:* multiple international mining companies, including Freeport McMoRan Inc. and Antofagasta Minerals S.A, with respect to earn-in, joint venture, offtake and royalty transactions in jurisdictions worldwide * Corvus Gold Inc. in its US$370 million all-cash acquisition by AngloGold Ashanti Limited * Euro Manganese Inc. in the $8.5 million strategic investment by the European Bank for Reconstruction and Development to develop the Chvaletice manganese project in the Czech Republic * multiple First Nations and industry proponents with respect to negotiation and implementation of commercial arrangements concerning mining and energy projects throughout Canada * multiple TSX, TSX Venture Exchange and NEO Exchange-listed companies with respect to continuous disclosure obligations, corporate governance, private placements, rights offerings and prospectus financings * multiple underwriters and agents in connection with private placements and prospectus financings of common shares, convertible debentures, and special warrants Prior to his legal career, David worked as a project manager serving Indigenous communities and natural resource companies throughout British Columbia and the Northwest Territories.
