I am an attorney at Much, where I focus my practice on mergers and acquisitions, private equity, and outside general counsel representation of privately held companies.In my private equity M&A practice, I support clients with their initial platform investments and all manner of additions and add-ons. Adding to the complexity of these transactions is the interplay of accounting and legal issues, such as the negotiation, documentation, and eventual reconciliation or enforcement of complicated earnouts, as well as adjustments to enterprise value. My previous experience as a CPA gives me the financial literacy to understand these issues and offer practical advice, adding value for private equity clients.When leading M&A transactions for private companies, I focus on clients’ objectives and strategies, ensuring deals meet their business goals. My clients appreciate my constant communication and management of expectations throughout the deal process.With experience in cross-border transactions, I also serve as one of my firm’s representatives to Ally Law, an organization of mid-size, local law firms that closely collaborate to better service business clients with worldwide legal needs. I advised the buy-side of a transaction involving an investor group in Mexico that formed a tax-beneficial Swedish entity to purchase a Bolivian operation from a U.S. owner. I also helped a U.S-based client with operations in the U.K, Australia, Spain, Germany, France, and Mexico sell its largest line of business to a Chinese public company.I additionally serve as outside general corporate counsel to clients, where my advice is part business, part financial, and part legal. I serve as a strategic advisor on long-term corporate governance and organizational issues while responding quickly to day-to-day legal issues that arise.
