Supervise and manage the Company's global litigation portfolio and strategy. • SEC, Regulatory & Internal Investigations. Coordinate and manage the response to regulatory inquiries, interacting with the SEC, DOJ and other regulators. • Corporate Governance. Develop the legal procedures, records and infrastructure for high-growth private company. Supervise drafting of corporate documents, including articles of organization, operating agreements, consents and minutes. • Corporate/M&A. Supervise due diligence and participate in negotiation of deal terms. • Regulatory Compliance. Develop and implement program ensuring compliance with applicable SEC, FTC & FCC regulations. Ensure e-commerce platforms and marketing campaigns comply with CAN-SPAM, TCPA, ROSCA and DNC. • Intellectual Property. Oversee intellectual property matters, including development and maintenance of the Company's patent and trademark portfolio. Developed DMCA policy and copyright protection procedures for Company's proprietary products. • Privacy & Cybersecurity. Developed new privacy policy for Company and supervised GDPR compliance. • Employment. Manage labor and employment issues, including drafting employment and severance agreements, FLSA, and protecting Company IP, trade secrets and confidential information. • Terms & Conditions / Commercial Agreements. Drafted comprehensive terms and conditions and master service agreements.
