Grace’s deep experience representing active strategic acquirors enables her to effectively guide sellers through the M&A readiness process and liquidity events by applying a “buyer’s view” to the sale process to head off potential issues that can delay or impede sale transactions. Grace has substantial experience in commercial contract due diligence, drafting and negotiation for software and other technology companies which enables her to support clients in achieving their revenue and growth milestones, as well as understand and manage potential customer, partner and other third-party consents and contract issues in the transaction context. In addition, Grace represents clients that include both for-profit and non-profit corporations and major universities, providing operational support handling a broad range of business-related matters, including licensing and vendor contracts, professional services agreements, confidentiality agreements, social media and copyright matters.
