About Herb Kozlov

I am a Reed Smith partner with over 35 years of experience advising clients on a wide range of matters, from assisting start up ventures to handling multi-billion-dollar transactions, IPO’s, private placements and corporate disputes. I have particular expertise in FinTech, M&A, and Corporate Governance matters. I represent clients across numerous industries, including, health care; retail; financial services; asset management; private equity; hospitality; media and entertainment; I offer broad legal and business acumen as an outside general counsel for public and private companies and a director of various companies. As chair of the firm’s FinTech practice, I advise clients on structured finance and corporate transactions that advance the digital transformation era. My broad-based corporate practice supports private and publicly owned companies and family offices. Transactions: I have represented private and publicly owned companies on the following activities: public and private mergers, acquisitions and divestitures; corporate governance matters; private equity transactions; capital markets transactions; venture capital transactions; partnership matters; and cross-border transactions. Litigation: On behalf of corporations and their boards of directors, I have defended shareholder class action and derivative claims; waged proxy contests; conducted internal corporate investigations; handled disputes among shareholders of closely held companies; and advised on hostile tender offer litigation. Notable matters- Represented acquiror of asset management company with over $5 billion of assets under management, and handled subsequent sale of that business line- Represented Special Committee of Independent Directors of public company in $1.4 billion "going private" transaction, including negotiation of merger agreement, preparation of proxy materials and ancillary documents- Represented acquirer in billion dollar-plus acquisition of specialty retail chain with over 700 retail locations, and also handled the related financing activities- Represented FinTech company in over $100 million of financings- Represented proprietary electronic trading platforms in a variety of matters, including financing activities, IP matters, and governance matters - Representation of NYSE and NASDAQ listed companies in responding to unsolicited acquisition proposals- Representation of boards of directors in responding to shareholder proxy access issues.
