James P. Lagios maintains a general law practice with many years of litigation and transactional experience in private practice and in house settings. Jim has represented corporate clients in complex commercial transactions, many of which have involved significant regulatory issues in the insurance and healthcare industry. He has represented parties in asset purchases from negotiation through the agreement’s successful consummation, both inside and outside of bankruptcy proceedings. He has also represented parties in litigation stemming from troubled transactions.Jim defended a chief financial officer in a multi-party federal action brought by an international investment holding company alleging fraud, breach of fiduciary duty and negligent misrepresentation. He utilized the procedures of the Hague Convention to obtain critical evidence located in Europe.Jim has handled a variety of issues in bankruptcy and state-court insolvency proceedings. He negotiated on behalf of a hospital system a bankruptcy court stalking-horse bid for the assets of an Article 28 hospital and several of its affiliates. He has also represented a financial receiver appointed in an involuntary state-court liquidation proceeding commenced by the New York State Attorney General under article 11 of the New York State Not-For-Profit Corporation Law. Jim has defended preference actions and brought motions for relief from the automatic stay and has defended against such motions. He has also commenced adversary proceedings against debtors to continue state-court litigation in the bankruptcy setting.
