About Jason Maxwell

Jason is a collaborative and empathetic Chief Legal Officer/General Counsel and solutions-oriented C-suite business partner, team builder and strategic leader. He is a Professor of Law and passionate corporate governance expert for public and private companies with uncompromising integrity. With over 18 years of experience as a General Counsel, he has successfully led legal teams at two of the world’s largest and most prestigious real estate companies. Jason possesses a rare blend of big law firm partner-level corporate and securities law expertise combined with extensive experience in major real estate transactions across all asset classes in the U.S. and globally. Jason also has deep experience with public and private capital markets (including IPOs) involving outward facing interaction with investors and other key constituencies. Jason has served as the Senior Vice President, General Counsel and Secretary for The Irvine Company, where he led a team of 40 professionals overseeing the Legal, Risk Management, Safety and Corporate Security functions. Prior to Irvine Company, he was Senior Vice President and Co-Head of the Global Legal department at Hines (having joined Hines as its first in-house lawyer in 2006). He also served as the General Counsel for all of Hines' public REITS, and as GC and Chief Compliance Officer of HMS Income Fund, a public BDC and regulated investment company. He led the formation of several of Hines' key institutional funds, and also the legal negotiation and successful acquisition or disposition of over 200 office, logistics, retail, multi-family, senior living, cold storage, hotel and student housing assets located in the U.S. and on four continents with an aggregate transaction value of approximately $26+ billion. Jason started his career as a Corporate and Securities Partner at Locke Liddell Sapp LLP (n/k/a Troutman Pepper Locke). He was the founding Chairman of the Real Estate Law Committee of the ACC, and is a frequent speaker at REIT and real estate conferences.
