Colas Inc. is a materials and heavy highway/infrastructure leader headquartered in Morristown, New Jersey, with seven (7) subsidiary companies operating in more than 25 states from New York to Alaska. Colas Inc. is part of Colas SA, the world leader in road construction and maintenance. In my capacity as Senior Counsel, I provide practical and solutions-oriented legal advice, support and assistance to Colas Inc. and its subsidiaries and their respective business leaders on a wide variety of legal and operational matters. By leveraging excellent organizational skills and a keen business sense with my comprehensive experience in mergers and acquisitions, contract negotiation and drafting and corporate governance, I am able to efficiently and effectively assess legal and business risks and provide sound legal and practical guidance with respect to time sensitive and challenging situations. Prior to joining Colas Inc, I practiced law as Of-Counsel at Rogers & Hardin LLP, a mid-size Atlanta, Georgia law firm, where I advised private and public companies in their mergers and acquisitions, capital raising and securities compliance activities. I represented clients with respect to all facets of corporate transactions ranging in size from $5 million to more than $900 million, and in connection with such representation, I managed due diligence investigations, negotiated and drafted principal and ancillary transaction documents and coordinated deal support from legal subject matter experts and in-house client teams. In addition, while in private practice, I gained significant experience negotiating and drafting commercial contracts and other material agreements (including supply, distribution, reseller, manufacturing, website development, software licenses, master services, transition services, independent contractor, employment, consulting, joint venture, operating and stockholder agreements, equipment leases, real property leases and terms and conditions of sale) and advised businesses across a variety of industries on corporate governance, general corporate and regulatory matters. I've represented clients in the corrugated and consumer packaging, software, financial services, telecommunications, engineering, construction, real estate, manufacturing and healthcare sectors and have experience closing transactions involving international legal requirements and working with local legal teams in Mexico, Ecuador, Peru, Colombia, Switzerland and the Netherlands, among others.
