I am a Partner at Bennett Jones with a business law practice focused on the intersection of innovation, governance, and growth. I advise technology and media businesses—at all stages of development—on complex commercial transactions, venture capital and private equity investments, IP strategies, employment matters, and M&A. As part of our Technology, Media & Entertainment Group, I counsel start-ups, scale-ups, and mature companies, as well as VC and PE investors, throughout the corporate life cycle. I also serve boards, directors, and management teams on governance and risk issues including director duties, strategic transactions, and director protection (indemnities and D&O insurance). I'm lead co-author of Directors’ Duties in Canada (7th Ed.), and contribute to the Canadian Venture Capital & Private Equity Association’s Model Documents Committee.
