I provide legal counsel in the practice areas of commercial real estate, general contract law, business formation and corporate governance. My clients include start-up businesses, lenders and multinational companies. When working with clients I negotiate, structure and prepare commercial transactions including 1) commercial loan closings and lease agreements; 2) product/services and material sales and supply contracts; 3) security and collateral agreements; 4) acquisition and divestiture agreements; and 5) business organizational and governance documents. My background as both an attorney and business professional enables me to understand the challenges and concerns faced by developing and mature businesses. I have 14 plus years of legal practice in business transactions, contract law, real estate law, corporate finance law, commercial lending, debt restructuring, litigated judicial foreclosures, M&A, asset liability management, asset protection and estate planning. In addition, I understand the parameters that impact company operations and profitability due to my 18 plus years of experience in business management, finance, accounting, operations and problem solving in mortgage banking, information technology and consumer finance sectors. I also have litigation experience as plaintiff’s counsel and have represented national lenders and services pursuing consumer foreclosure judgments and collateral recovery. Knowing firsthand what issues may result in litigation provides me with foresight when drafting transactions and providing counsel to business clients.
