About Liam Dempsey

Since qualifying into the Commercial & Business Team at Hayes in December 2023, I have worked across a range of practice areas, in particular commercial litigation, commercial contracts, and corporate governance and compliance. Corporate Governance and Compliance: I have advised various types of companies (in particular companies limited by guarantee and private limited companies), other bodies corporate and unincorporated associations in updating their constitutional and governance documents to ensure that they are in compliance with their legal and regulatory requirements. Within this realm, I have also advised a number of charitable clients in respect of their obligations under the Charities Act 2009 and their interaction with the Charities Regulator, including on the role of the Director and Trustee in charitable organisations. Commercial Contracts– I have reviewed, drafted and negotiated various commercial agreements on behalf of private clients, including service agreements, agency agreements, distribution agreements, collaboration agreements, shareholder agreements, joint venture agreements, licence agreements, and partnership agreements. I have also advised on issues such as the assignability of contractual contracts in the context of asset purchase agreements. Commercial Law Dispute Resolution –I have advised and assisted companies and individuals in relation to commercial disputes, including, injunctive relief applications, landlord and tenant disputes, breach of contract and breaches of company law obligations. I am currently enrolled in the Law Society's Commercial Contracts' Certificate, commencing in February 2025.
