About Marc Kushner

As Head of U.S. M&A at Dorsey & Whitney, my practice focuses on complex U.S. and cross-border M&A transactions. I am thrilled to join Dorsey from Osler, Hoskin & Harcourt, where I led the U.S. M&A team and was part of a group recognized by Chambers Global with a Band 1 ranking for International & Cross-Border Transactions in Canada. I have also been recognized for several years by IFLR The Guide to the World’s Leading Financial Law Firms as a Notable Practitioner in M&A and Private Equity. In addition to advising on cross-border deals in the U.S, I have acted on large and complex international transactions involving companies worldwide, including in Saudi Arabia, Brazil, Canada, China, Africa, and Indonesia. My experience includes advising public and private companies, private equity firms and pension funds on mergers, acquisitions, divestitures, joint ventures, leveraged buyouts, minority investments, recapitalizations and other transactional matters. I also have extensive expertise in representations and warranties insurance and have advised buyers, sellers, and insurers on many recent transactions. My transactional work includes advising- Manara Minerals, a joint venture formed by Saudi Arabian Mining Company (Ma'aden) and the Public Investment Fund (PIF), in its agreement to acquire 10% of Vale Base Metals Limited (VBM), the holding entity of Vale's energy transition metals business, for approximately $2.6 billion, as adjusted- China Molybdenum in its $2.65 billion acquisition of Freeport-McMoRan’s indirect 56% interest in the Tenke Fungurume copper-cobalt mine - China Molybdenum in its $1.5 billion acquisition of Anglo American’s Brazilian niobium and phosphates businesses - PSA International in its acquisitions of Halterm Container Terminal and Penn Terminals from Macquarie Infrastructure Partners - Chemtrade Logistics Income Fund in its $900 million acquisition of General Chemical Corporation - China Molybdenum in its participation in the $466 million acquisition of the global metals business of Louis Dreyfus Company by NCCL Natural Resources Investment Fund -Fibocom Wireless in its acquisition of Sierra Wireless’ automotive embedded module product line for $165 million - Kensington Capital Partners Limited in its $85 million recapitalization of Kenona Industries LLC in conjunction with management and co-investors -Warburg Pincus LLC and certain of its affiliates, in connection with ongoing portfolio company matters
