About Mark Peters

With over 25 years “in the Boardroom” experience at both large and medium-sized listed companies, I have advised Chairs, Executive Directors, Board members and senior management on Board effectiveness specifically and corporate governance, stock exchange and company law matters, more generally. My experience spans both UK and non-UK listed companies (including in the regulated sector), working closely with Boards at times of significant structural change or crisis, including IPO, finance-raising, acquisition, sale and hostile takeover. For me, a key facet of my role is to ensure Boards are provided with the tools they need to operate both effectively and efficiently. Over the years, I have conducted many internal Board Effectiveness Reviews and developed the scope and approach, in consultation with the Chair, of a number of externally facilitated Board reviews, leading on the follow-up action plans. I ensure rigorous governance structures are in place but always driven by the commercial and strategic imperatives of the business. As well as having a deep knowledge of those topics traditionally within the remit of company secretaries, I have also developed a breadth of experience across the broader governance, regulatory and compliance (“GRC”) landscape, having led company-wide GRC initiatives across multiple work-streams involving senior stakeholders. A Fellow of The Chartered Governance Institute and a member of its Company Secretaries Forum, I chair the International Committee and actively contribute to the development of Board best practice guidance and contribute to the Institute’s formal responses to government consultations on corporate governance and other related matters.
