COMPETITION & ANTITRUST • obtaining merger clearances (agriculture, retail, pharmaceuticals); • providing legal advice in respect of the necessity to obtain merger clearance; • competition compliance review of horizontal and vertical commercial agreements (Marketing Service Agreements, Distribution Agreements, etc.); • unfair competition, including distribution of misleading information etc; • analyzing promotional materials, advertising campaigns for its compliance with the competition law. PHARMACEUTICALS & HEALTHCARE • legal support during RepOffice liquidation, transformation of RepOffice into subsidiary enterprise (LLC); • developing of the Company Policies including, inter alia, Policies of Interaction with Pharmacy Chains/Distributors; Commercial Policies; Budgeting Policies; Marketing Service Policies, etc; • developing SOPs/internal rules related to, inter alia, pharmacovigilance, corruption risk management, gifts and other gratitude’s, personal data protection, loyalty programs, etc; • obtaining an import/wholesale license; • legal support of day-to-day activities of RepOffice/Company (consulting, inert alia, on bonus and discounts settlement, pricing for medicines, clinical trials and post-marketing research, etc.) EMPLOYMENT & LABOR LAW • advise on issues arising in the process of labor relations starting from the moment of employment to the moment of dismissal; • drafting internal labor documents (employment agreements/contracts, internal, regulations/policies, collective bargaining agreements etc.); • perform internal due diligence of companies re their compliance with labor legislation; • advise on issues concerning disputes with trade unions, etc.
