I have been advising M&A and general corporate matters since 2010. I'm heading (defence)tech sector M&A at COBALT. I advise clients mainly on mergers, acquisitions, restructurings, and other general corporate law related questions. I have been involved in several M&A projects, advising clients on share and asset deals, strategic and financial investments. I have also advised several start-ups on shareholders’ relations, motivation packages and other matters. Among others, I have has experience in- sale of shares, including by way of auction, sale of assets, share subscriptions - shareholders relations, including various motivation packages and options - both vendor and buyer side legal due diligence, including negotiations with virtual data room providers, set up the virtual data room, collection of documentation - mergers, demergers, reorganizations, liquidations - corporate restructurings, including establishing companies in Estonia, Cyprus, Malta - various commercial agreements, including service agreements, sales agreements, agency agreements -other corporate matters, including shareholders meetings, changes to articles, capital and governing bodies - financing and collateral agreements, including realization of collaterals - registration of pleasure yachts in Estonia and London - environmental matters, including obtaining and transferring environmental permits; issues related to greenhouse gas emission allowances and wind farms I am a valued team member and also has excellent project management skills and understanding of successful teamwork. I have led several legal projects, including complicated cross-border projects involving teams from several jurisdictions.
