As a former general counsel with a broad base of legal experience, I am uniquely qualified to provide legal guidance and assistance to entrepenuers, start-ups as well as established small and emerging business enterprises. Even though each of my in-house legal positions were with companies in the government contracting industry, a great amount of my expertise applies accross the board to all commercial businesses. Specialties include: Entity Formation and Governance; Corporate and Securities (including private offerings of debt and equity securities); Drafting and negotiation of all types of contracts; Government Contracting Counseling, Compliance and Disputes (including bid protests, small business certification and related issues: 8(a) and other special programs, Mentor Protege, Joint Ventures etc.); Organizational conflicts of interest and mitigation plans; M&A transactions (including unique issues raised in buy/sell transactions involving government contracting firms.such as novations etc.); Labor & Employment issues (including executive agreements and compensation arrangements, internal investigations and responding to EEOC charges); Commercial Leasing; Intellectual Property (including IP issues unique to government contracting); and General Business counseling.
