About Ryan Sheen

As a Founding Senior Attorney of Optimal Counsel LLP, a high-end boutique law firm specializing in startup and emerging technology law, I'm dedicated to providing strategic and practical advice to clients across various sectors and stages of the corporate life-cycle. From the inception of an idea to its execution, funding, and eventual exit, we are committed to empowering our clients to achieve their goals and vision while safeguarding their interests and values. In my role as a startup and venture capital attorney, I assist entrepreneurs in navigating the complex legal and business challenges of launching and scaling innovative ventures. I serve as primary corporate counsel and advise on a broad range of matters, including company formation, day-to-day corporate governance (such as board and stockholder actions), financings (seed funding, bridge rounds, and venture capital), mergers and acquisitions (representing both buyers and sellers), intellectual property, recapitalizations, spinoffs,"Delaware Flips" of foreign corporations in connection with raising capital from U.S-based VCs, and other high-stakes and complex corporate matters. I’m a proud graduate of the University of Illinois at Urbana-Champaign (I-L-L!) and Duke University School of Law (Go Blue Devils!). I'm also an active angel investor with Duke Capital Partners. In my spare time, I enjoy supporting (read: suffering) for Chicago sports teams, as well as the sports teams of my alma maters.
