With a prior career in technology, e-commerce, and banking, coupled with fifteen years’ legal experience guiding corporate and governmental clients through financings, policy planning, ethics and securities compliance, and providing trainings, legal opinions, and fiscal review for hundreds of capital projects covering financings up to $800 million and timelines up to a decade, I have developed substantial adaptability and expertise in navigating federal and state regulatory regimes. My practice includes corporate representation for public, private, and nonprofit companies, municipal law, finance, data privacy, and guiding real estate matters. I have led a wide range of the firm’s representations structuring and executing a variety of finance transactions, including general GO, revenue, and assessment bond issues, lease financings, and industrial development bonds. I provide election proceedings, federal tax analysis, statutory and regulatory guidance, drafting legislation, managing Freedom of Information Act requests, lobbying laws, public disclosure laws, analysis of Blue Sky securities laws, and drafting opinions of counsel. I have worked as corporate counsel for clients over a broad spectrum of corporate transactions, including acquisitions, financings, securities offerings, data security, data breach notification, privacy, and general matters. I advise public, private, and nonprofit companies on a range of corporate and securities law matters, including compliance, corporate governance, securities, and transactional work with companies at all stages of development in a variety of industries. I provide corporate advice, drafting and negotiating complex commercial contracts. I also practice in the area of education law, as well as lobbying and litigation work. With the education practice group, I work with a variety of school districts and municipal clients on public policy issues. I am experienced in drafting legislation, interlocal agreements, drafting bills, public testimony, and local ordinances. I have worked with clients on real estate asset purchases, sales, and financing, including office, industrial, multi-family housing, student housing, and governmental properties. I have experience in construction and permanent financing as well as distressed debt financing and workouts. I have represented clients in sophisticated joint venture transactions, as well as owners in the negotiation of asset and property management agreements.
