About Tim Manning

Tim Manning is an in-house commercial attorney, leader, and partner to Boards, C-suites, and senior management with more than a decade of experience providing strategic legal, risk, and operational guidance to publicly traded and privately-held companies. His deep and varied experience includes complex commercial transactions, M & As, litigation, risk, and crisis management, HR/employment law, corporate governance, and compliance. As chief commercial lawyer at Scoular—a $10 billion global food and agriculture business ranked the 49th largest privately-held US company by Forbes with operations in 80+ countries—Tim leads a team of lawyers and legal operations professionals in supporting for M&A, contracts, real estate, and business transactions. Since joining Scoular, Tim has led more than $150M in acquisitions of assets, plants, and facilities, capital projects and financing, and joint ventures, as well as 20+ real estate transactions across the US and Canada. A cross-functional leader, he also oversees banking/finance matters and is primary legal counsel on all IT, technology, and intellectual property matters. Tim is a proactive and collaborative attorney focused on anticipating challenges, managing risks, and generating business results. He achieves success by approaching legal issues with a “yes” mindset and an open, balanced approach to risk. Key skills and experience from his career include: Driving growth by closing deals, leading negotiation, due diligence, closing, and integration of domestic and cross-border transactions (e.g, acquisitions, divestitures, and reorganizations of businesses and assets), as well as vendor and supplier contracts with international customers and joint ventures in food/ag products and CPG industries. Leading legal strategy and management of brand and consumer matters (marketing, advertising and IP), and providing guidance and training on compliance with all domestic and international regulations. Partnering with leadership to develop and implement risk mitigation strategies that balance business interests, and managing diverse international litigation portfolios that include product liability and recall, labeling and advertising claims, consumer class actions, trade secrets, and employment matters. Prior to joining Scoular, Tim was Sr. Corporate Counsel at SunOpta (NASDAQ: STKL), a $1B+ publicly traded food manufacturing and CPG company where he served as division general counsel and member of leadership team of $550M Global Ingredients business unit, and Corporate Counsel to Silver Bay Realty Trust Corp.
