Structuring of the legal aspects of infrastructure and energy projects, with our without financing- Assessment, amendment and negotiation of contracts provided by clients - Drafting of the legal aspects of the tenders - Drafting, and negotiation of consortium and JV agreements, shareholders agreements - Drafting, and negotiation of EPC, design and build, O&M, mining services agreements - Knowledge of the main standard forms (FIDIC, NEC, AMPLA…)- Drafting, and negotiation of legal mandate with law firms - Assistance for the negotiation of the financial documentation Contract Management for the legal aspects of the project- Legal aspects of the major milestones - Drafting and negotiation of amendment to the contracts - Dispute Management- Management and training of junior and senior in house lawyers - Coordination of lawyers (internal or with legal team of partners) and external legal advisors Ethic and compliance aspects of the development of the projects Montage juridique de projets d’infrastructure et d’énergie avec ou sans financement - Analyse des risques, amendement et négociation des contrats proposés par les clients- Rédaction des parties juridiques des offres remises dans les appels d’offres publics (notes, …)- Rédaction et négociation d’accord de consortium avec des partenaires industriels et financiers- Rédaction et négociation avec les partenaires industriels et financiers des : o contrats industriels (EPC, Conception construction, entretien et maintenance, services miners….) o mandats des conseils juridiques de groupement et des prêteurs, o pactes et statuts des sociétés de projet, o assistance dans la structuration financière des projets, analyse et amendement de documentation financière, o pratique des standards internationaux (FIDIC, NEC, AMPLA…) Gestion contractuelle et accompagnement juridique pour l’exécution des projets - Suivi juridique de l’exécution des étapes clefs des projets, préparation d’exploitation commerciale de projet- Rédaction et négociation d’avenants à la documentation contractuelle des projets- Suivi des contentieux à l’encontre des projets (contrats administratifs, permis de construire, …). Management - Encadrement et formation de juristes juniors ou confirmés - Coordination juridique entre les différents avocats et juristes des partenaires industriels et financiers, Ethique et conformité en lien avec le développement des projets.
