About Wiktor Sobol

Advocate trainee in Warsaw (Poland) Law graduate from the Faculty of Law and Administration of the Jagiellonian University in Cracow (Poland) Associate at EY Law (Corporate / M&A department) My interest and focus as a lawyer lies in providing commercial law related assistance to corporate companies. I develop my skills with an emphasis in: • ongoing corporate assistance (Shareholders’ Meetings, Management and Supervisory Boards’ resolutions, bylaws of corporate bodies, day-to-day advice); • assisting in processes related to the establishment, reorganization, liquidation and transformation of companies; • compliance and corporate governance support (identification of UBO, preparation of AML and Whistleblowing procedures); • handling mergers and acquisition (M&A), as well as asset deal transactions (both buy side and sell side), including transactions in the Private Equity and Venture Capital markets; • due diligence processes (review of documents and preparation of DD reports); • assisting with implementing the due diligence related corrective measures; • negotiating and preparing the transaction documentation (LoI, Term Sheets, MoU, NDA, Investment Agreements, SHA, SPA); • preparing the registration and changes applications in the public registers (National Court Register, Register of Ultimate Beneficial Owners, etc.). In addition, I develop my experience within the capital markets law field, by advising public companies in their current activities, as well as in the processes regarding IPO, SPO, and delisting of shares, including procedures before the Financial Supervision Authority and the National Securities Depository. I am currently in my 2nd year of Advocate traineeship at the Warsaw Bar Association.
