About Lori Brewer

I believe that all companies are technology companies. I advise buyers and sellers of technology as they navigate the legal, business, and practical issues that arise in the course of product design, data strategy, security, the commercialization and procurement of technology, digital transformations and business process and IT outsourcing. I act as lead negotiator in a wide variety of complex sourcing relationships, including strategic alliances, business process outsourcing (BPO), IT outsourcing (ITO) and other strategic sourcing and revenue sharing arrangements. I have years of experience re-structuring and re-negotiating legacy or otherwise unfavorable transactions, as well as advising clients through the process of termination, re-sourcing or in-sourcing existing vendor relationships. As part of my practice, I assist clients with large scale digital transformation initiatives involving the implementation and integration of custom and enterprise-level technology solutions. I have successfully guided clients through a wide variety of digital transactions. I am a skilled drafter of all forms of technology related contracts and am able to provide clients with carefully tailored agreements that address the increasingly complex demand for digital services. I have negotiated issues surrounding, among other things, open source software policies and licensing, appropriate security and privacy measures, complex robotic automation (RPA), connected device (Internet of Things or IoT) and artificial intelligence (AI). I have negotiated numerous master services agreements and other professional services agreements covering the development, configuration, integration and implementation of software using both waterfall and agile development methodologies. I assist clients with procuring mission critical software, including electronic health records (EHR) software, enterprise asset management (EAM) software, customer relationship management (CRM) applications, enterprise database technology, enterprise resource planning (ERP) software, and omni-channel inventory, fulfillment and supply software applications. I have extensive experience structuring and negotiating purchases under various licensing models, including public, government, private, hybrid cloud and other “as a Service” models (SaaS, PaaS, and IaaS). I routinely engage with some of the largest and most sophisticated service providers in the world, and frequently yield market-leading results for the benefit of my clients.
