About Massimo Palombi

I am Counsel in the Corporate and Financial Services Department of the Milan office of the Firm. I am specialized in corporate and commercial law. My practice includes advice on national and cross-border M&A deals, as well as transactions for the lease or purchase of going concerns. I regularly counsel clients on general corporate matters, joint ventures, partnerships, shareholders’ agreements, compliance and governance matters, and directors’ liability. I have a significant experience in distribution law (e.g. general terms and conditions, distribution agreements, commercial agent agreement, e-commerce) and I regularly assist Italian and international clients in drafting distribution agreements and perusing such agreements within M&A transactions. I have been involved in several matters relating to the fashion and luxury market and I have developed a deep knowledge of the industry, including its IP profiles. I have also gained significant experience representing both investors and debtors in connection with insolvency proceedings, restructurings, and asset dispositions. I have been admitted to practice before the Superior Courts. I have served for one year in the firm’s office in New York, and continue to be active in the firm’s international practice.
